Contract obligations for small and mid-sized firms

Know every date your contracts hold you to.

Termwise reads your vendor contracts and finds each renewal window, notice period, payment term and duty. It works out the actual date, puts it on a calendar and gives it an owner. Every line it shows you is quoted from the contract with its clause number, so nobody has to take a summary on trust.

Auto-renewal is how firms keep paying for things they meant to cancel.

A hosting contract signed two years ago renews for another year unless someone sends notice 30 days before the end of the term. The date is not written anywhere. It has to be worked out from the start date, the term length and the notice clause, which sit in three different places. The person who signed has moved on. Finance finds out when the invoice arrives.

Large companies buy contract management suites and hire people to run them. A 40-person logistics firm with sixty vendor contracts has a shared drive and a spreadsheet someone stopped updating. Termwise is for that firm.

How it works

  1. Add a contract. Paste the text or drop in a file. Termwise splits it into clauses and reads the parties from the opening paragraph.
  2. Say which side you are. Customer, supplier, licensee. The same clause is a duty for one party and a right for the other, so Termwise sorts each finding by who it binds.
  3. Check and assign. Each deadline shows the sum behind it, with every figure linked to the sentence it came from. A person confirms it and gives it an owner.
  4. Get reminded. Deadlines go into Google Calendar or Outlook through a private feed, with alerts 14 and 3 days before.

It cannot make things up

Termwise does not generate text. Every finding is a span of the document with its exact character offsets, and the test suite checks that for every sample: the quote must equal the text at those offsets, and every number the finding reports must appear inside it. If a contract says nothing about renewal, Termwise says nothing about renewal.

Built to be audited

Tamper-evident log

Every change is an event that carries the SHA-256 of the one before it. Edit or delete an old event and verification names the exact event where the chain breaks.

Roles that bite

Viewers read, members work obligations, admins manage contracts and people, owners handle billing and erasure. The server checks the role on every request, so a demotion takes effect immediately.

A person signs off

Nothing is final until someone confirms it. Rejecting a finding needs a written reason, and anything calculated from a rejected finding drops out of the register.

Erasure with proof

Deleting a contract removes its text for good. The audit log keeps only its title and a hash of the text, which proves what was held and when it went without keeping any of it.

Your data, portable

Owners can export the whole workspace as one JSON file and the audit log as JSON Lines, or erase the workspace outright.

Plain security

scrypt password hashes, HttpOnly session cookies stored only as hashes, a CSRF header check on every write, a strict content security policy and per-email login rate limits.

Pricing

Per workspace, billed monthly. Limits are enforced by the server, not just shown here.
